Business Organizations Practice Group
Attorneys in our Business Organizations group have experience in virtually all areas of business. Our clients’ enterprises range from small sole proprietorships to large privately held companies. The types of services we provide clients include:
-
Counseling on business entity options (corporation, professional corporation, general or limited partnership, limited liability company or limited liability partnership). This counseling often occurs in conjunction with the start-up of a new business or the purchase of an existing business.
-
Drafting the necessary documents to organize the business entity selected.
-
Preparing agreements among owners relating to transfer of ownership and exit strategies. Reviewing the applicability of those agreements to changed circumstances subsequent to the entity’s formation.
-
Advising clients regarding the estate planning issues associated with the formation and operation of their business.
-
Maintaining the business entity, including counseling with regard to annual or special meetings, preparing resolutions or consents to action taken by the owners and reviewing the current applicability of any buy-sell agreements.
-
Advising clients regarding the desirability of changing the form of entity if circumstances have changed subsequent to the entity’s formation.
-
Advising clients on the dissolution of their business entity and related wind-up matters.
We take particular pride in being available to our business clients on general business concerns and strategic business decisions. Our attorneys share the business owner’s entrepreneurial spirit and are fully engaged for their clients’ success.
