Counseling on business entity options (corporation, professional corporation, general or limited partnership, limited liability company or limited liability partnership). This counseling often occurs in conjunction with the start-up of a new business or the purchase of an existing business.
Drafting the necessary documents to organize the business entity selected.
Preparing agreements among owners relating to transfer of ownership and exit strategies. Reviewing the applicability of those agreements to changed circumstances subsequent to the entity’s formation.
